These Terms of Service ("Terms") constitute a legally binding agreement between Heirly Inc. ("Heirly," "we," "us," or "our") and any individual or entity who accesses or uses our website, platform, or services ("you" or "User"). By accessing or using our website at https://heirly.co (the "Platform"), you agree to be bound by these Terms. If you do not agree, do not access or use the Platform.
You must be at least 18 years of age or the age of majority in your jurisdiction to use the Platform. By using the Platform, you represent and warrant that you meet these requirements and that all information you provide is truthful and accurate.

Heirly does not own, buy, sell, broker, or represent any business listed on the Platform. We are a technology provider enabling introductions and communications between parties.

Heirly reserves the right to suspend or terminate any account that violates these Terms.
To ensure the integrity of listings and users, Heirly may request verification information, including details about your business, professional credentials, or identity. By submitting this information, you authorize Heirly to verify its accuracy through internal or third-party means.
Certain features of the Platform may be offered on a paid basis. Payments are processed securely through third-party payment processors.
By providing payment information, you authorize the processor to charge applicable fees. All payments are non-refundable unless expressly stated otherwise.
(a) Founding Member Offer. During the pre-launch period, eligible users may pre-register to become Founding Members and secure early-access benefits, including discounted membership pricing ("Founding Member Rate"). By submitting valid payment information, you authorize Heirly Inc. to store your payment details through its third-party payment processor.
(b) Deferred Billing. Founding Members will not be charged at the time of registration. Payments will be processed only after the Platform's official launch date. Prior to any charge, Heirly Inc. will issue a notice to the email address on file.
(c) Grandfathered Rate. Founding Members who maintain an active and continuous subscription following the Platform's launch will retain their Founding Member Rate for the duration of their active membership. This rate will remain in effect unless and until the subscription is cancelled or terminated.
(d) Forfeiture of Founding Member Rate. If a Founding Member cancels, fails to renew, or otherwise terminates their subscription, the associated Founding Member Rate will automatically expire and cannot be reinstated under any circumstances. Any subsequent reactivation or new subscription will be subject to the then-current pricing and terms in effect at the time of renewal.

All content, trademarks, software, and other materials on the Platform are the property of Heirly Inc. or its licensors.
You are granted a limited, non-exclusive, non-transferable license to access and use the Platform for its intended purposes. You may not reproduce, distribute, or create derivative works without written permission from Heirly.
By submitting content (such as listings, business details, or messages), you grant Heirly Inc. a worldwide, royalty-free, non-exclusive license to use, display, and distribute that content as necessary to operate the Platform.
You represent that you have the right to provide such content and that it does not infringe the rights of any third party.
The Platform may include links or integrations with third-party services. Heirly Inc. is not responsible for the content, security, or privacy practices of such services. Your use of third-party services is governed by their respective terms and privacy policies.
The Platform and all related services are provided on an "as is" and "as available" basis.
Heirly Inc. makes no warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
We do not guarantee the accuracy, completeness, or reliability of any user content or third-party information.
To the maximum extent permitted by law, Heirly Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill, arising from your use or inability to use the Platform.
In no event shall Heirly's total liability exceed the amount paid by you (if any) for services in the six (6) months preceding the claim.
You agree to indemnify, defend, and hold harmless Heirly Inc., its affiliates, directors, officers, and employees from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Platform, your content, or your violation of these Terms.
These Terms shall be governed by and construed in accordance with the laws of Canada and the Province of Ontario, without regard to conflict of law principles.
Any dispute arising out of or relating to these Terms or the Platform shall be resolved through binding arbitration administered by the ADR Institute of Canada in Toronto, Ontario, in accordance with its Arbitration Rules.
The arbitration shall be conducted in English before a single arbitrator. The arbitrator's decision shall be final and binding on the parties, and judgment may be entered in any court of competent jurisdiction.
You waive any right to participate in a class action or representative proceeding against Heirly Inc.
Heirly Inc. may suspend or terminate access to the Platform at any time, with or without notice, for conduct deemed inconsistent with these Terms or detrimental to the Platform's integrity.
Heirly Inc. reserves the right to update or modify these Terms at any time. Changes become effective upon posting on the Platform. Continued use of the Platform after such posting constitutes acceptance of the updated Terms.
