This Acceptable Use Policy ("Policy") governs your access to and use of the Heirly Inc. website, platform, and related services (collectively, the "Services").
By using the Services, you agree to comply with this Policy, as well as any other applicable terms, including the Heirly Inc. Terms of Service. Violation of this Policy may result in the suspension or termination of your account, removal of content, or other remedial actions deemed appropriate by Heirly Inc.
Heirly Inc. is a digital platform that connects individuals and businesses seeking to buy, sell, or advise on business transactions. To maintain a professional, secure, and compliant environment, all users must use the Services responsibly, ethically, and in accordance with applicable laws.
You agree not to use the Services to engage in, promote, or facilitate any activity that:
(a) Violates Laws or Regulations
- Infringes any applicable federal, provincial, state, local, or international law, including securities, tax, privacy, or anti-fraud regulations;
- Facilitates, promotes, or engages in money laundering, terrorism financing, or fraudulent investment activities; or
- Misrepresents the nature, ownership, or status of a business.
(b) Involves Fraud, Misrepresentation, or Deceptive Practices
- Submits false, misleading, or incomplete business or personal information;
- Posts inaccurate or fraudulent business listings or advisory credentials; or
- Engages in impersonation or unauthorized representation of another person or entity.
(c) Infringes Intellectual Property or Privacy Rights
- Uploads, transmits, or distributes content that infringes any copyright, trademark, patent, trade secret, or other proprietary right;
- Violates another party's privacy, publicity, or confidentiality rights; or
- Uses the Services to collect, store, or disclose personal information without consent.
(d) Involves Abuse, Harassment, or Malicious Conduct
- Harasses, threatens, or discriminates against others based on race, gender, religion, nationality, or any protected characteristic;
- Uses hate speech or offensive language;
- Engages in spamming, phishing, or sending unsolicited communications; or
- Attempts to gain unauthorized access to other user accounts, data, or systems.
(e) Compromises Platform Security or Integrity
- Interferes with, disrupts, or damages the operation of the Services;
- Uses automated scripts, bots, or data-scraping tools without written authorization;
- Attempts to test, probe, or bypass security mechanisms; or
- Uploads malware, viruses, or other harmful code.
(f) Circumvents Platform Controls
- Conducts transactions outside the Heirly Inc. platform to avoid fees or verification processes;
- Manipulates, falsifies, or interferes with the integrity of reviews, ratings, or reporting systems; or
- Uses the Services in a manner inconsistent with their intended purpose.
All buyers, sellers, and advisors using the Services must adhere to the following standards:
- Accuracy: Information submitted in listings, profiles, and communications must be true, complete, and not misleading.
- Legitimacy: All businesses listed for sale must operate in accordance with applicable law and hold valid licenses and registrations.
- Confidentiality: Users must respect the confidentiality of business information shared during negotiations or advisory activities.
- Professional Conduct: Advisors must act ethically, avoid conflicts of interest, and comply with any applicable licensing or regulatory requirements.
Heirly Inc. reserves the right, but not the obligation, to:
- Monitor user activity and content for compliance with this Policy;
- Remove or restrict access to any content deemed inappropriate, illegal, or in violation of this Policy;
- Suspend or terminate user accounts without notice where misuse is detected; and
- Report illegal activities to law enforcement or regulatory authorities as required by law.
Heirly Inc. shall not be liable for any damages resulting from actions taken in accordance with this Section.
If you believe a user is violating this Policy or engaging in prohibited conduct, please notify us immediately at concierge@heirly.co. Provide as much detail as possible, including the nature of the violation and any supporting evidence.
Heirly Inc. will review all reports promptly and take action as deemed appropriate.
Heirly Inc. may modify or update this Policy at any time. The "Effective Date" at the top of this page reflects the latest revision. Continued use of the Services after such updates constitutes acceptance of the revised Policy.
